1. Acceptance of Terms

By creating an account and using Mersa, you agree to these Terms of Service. If you do not agree, please do not use the service.

2. What Mersa Does

Mersa is a client portal tool that allows freelancers and consultants to share project updates, files, invoices, and messages with their clients through a unique link. Clients can access portals without creating an account. Invoices can also be downloaded or printed as PDF documents directly from your browser.

3. Your Account

  • You must provide a valid email address to create an account.
  • You are responsible for keeping your password secure.
  • You are responsible for all activity that happens under your account.
  • You must be at least 18 years old to use Mersa.

4. Acceptable Use

You agree not to use Mersa to:

  • Upload or share illegal, harmful, or fraudulent content.
  • Impersonate other people or organizations.
  • Attempt to gain unauthorized access to other users' data.
  • Use the service in any way that violates applicable laws.

5. Plans & Payments

  • Free plan: 1 client portal, free forever.
  • Starter plan ($7/month): up to 5 client portals.
  • Pro plan ($15/month): unlimited portals.

Payments are made in USDT (on the Polygon network) through our checkout. Your plan is activated once the payment is confirmed on-chain. Paid plans are prepaid for 30 days and do not auto-renew — you renew manually before expiry to keep your plan active.

6. Refunds

We offer refunds within 7 days of payment. To request a refund, contact us at mohamed.n.naas@gmail.com with your payment details. Refunds are issued to the original payment method.

7. Your Content

You own all content you upload to Mersa — updates, files, invoices, and messages. By uploading content, you give us permission to store and display it as part of the service. We do not claim ownership of your content.

8. Service Availability

We aim to keep Mersa available at all times but cannot guarantee uninterrupted access. We are not liable for any downtime, data loss, or disruption to your business caused by service outages.

9. Account Termination

You can delete your account at any time from your settings page. We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

10. Limitation of Liability

Mersa is provided as-is. We are not liable for any indirect, incidental, or consequential damages arising from your use of the service, including loss of data or business opportunities.

11. Changes to Terms

We may update these terms from time to time. The updated date at the top of this page will reflect any changes. Continued use of Mersa after changes means you accept the new terms.

12. Client Payments in USDT (Non-Custodial)

Mersa lets you show your own USDT wallet address (on the Polygon network) on an invoice so a client can pay you directly. This feature is optional. Before you use it, understand how it works:

  • Mersa never holds your money. Payments go straight from your client's wallet to your wallet. Mersa does not receive, hold, control, or move any funds between you and your client — it only displays the address you provide and reads the public blockchain to check whether a payment arrived.
  • Mersa is not a party to the payment. Mersa is not a bank, payment processor, money transmitter, exchange, escrow, agent, or guarantor. Any payment is solely between you and your client.
  • Crypto payments are final and irreversible. Once a payment is confirmed on the blockchain it cannot be reversed, cancelled, charged back, or refunded through Mersa, and there is no escrow or dispute resolution through Mersa. The 7-day refund policy in Section 6 applies only to your own subscription payments to Mersa — never to payments between you and your clients.
  • You are responsible for your wallet address. You must provide a wallet address that you personally control on the Polygon (PoS) network, and confirm it is correct. Mersa is not responsible for funds lost because of a wrong, mistyped, incompatible, or exchange-deposit address.
  • Your client is responsible for sending correctly. The payer must send the correct token (USDT), on the correct network (Polygon PoS), for the exact amount shown. Funds sent on the wrong network, in the wrong token, or to the wrong address may be lost permanently and cannot be recovered by Mersa.
  • "Paid" is an observation, not a guarantee. When Mersa marks an invoice as paid, that reflects a matching payment seen on the public blockchain. It is not a settlement or a guarantee by Mersa that the funds are valid, final, or received in full.
  • Taxes and legal compliance are yours. You are solely responsible for any taxes owed on payments you receive and for complying with the laws of your country and your client's country. You may not use this feature where it is prohibited by law or by applicable sanctions.

You use this feature entirely at your own risk. To the maximum extent permitted by law, Mersa is not liable for any loss arising from cryptocurrency payments between you and your clients.
